The consideration for the proposed transaction would be an upfront enterprise value of approximately SEK 4.6 billion (EUR 425 million) plus an earn-out contingent on 2018 financial performance, up to a total enterprise value of approximately SEK 4.9 billion (EUR 455 million). The completion of the transaction is subject to certain conditions, including the approval of the shareholders of Capio AB (publ) at an extraordinary general meeting in accordance with the Swedish Takeover Rules.
