Setterwalls advises Maha Capital in connection with the signing of a share purchase agreement to acquire KEO World’s credit operations and planned capital raises of over SEK 300 million.

Maha Capital AB (the “Company”) has during 2025 repositioned from an international exploration and production company – focused on oil and gas discovery and extraction – to a diversified investment company. The acquisition is to be carried out through an issue of new shares in the Company, as a result of which KEO World will initially hold approximately 40 per cent of the shares in the Company. To secure the continued financing of the Company, the Company furthermore intends to carry out several capital raises to an aggregate amount of over SEK 300 million. The transaction is conditional upon, inter alia, transaction-related resolutions at an extraordinary general meeting and receipt of all required regulatory approvals, including approval of the re-listing of the Company’s shares on Nasdaq Stockholm. Following completion of the transaction, the Company intends to list its shares in the United States, pursuing a dual listing on Nasdaq Capital Market US.
