Setterwalls has advised the shareholders in Vertigo Games (”Vertigo Games”) in connection with the divestment of Vertigo Games to Embracer Group AB (”Embracer”).

Vertigo Games is a company that develops, publishes and distributes games exclusively for VR. Vertigo Games is inter alia behind the million-selling and award-winning global success Arizona Sunshine. Embracer is active in developing and publishing PC, console and mobile games for the global games market, with an extensive portfolio of over 190 owned trademarks. Embracer completed its acquisition of Vertigo Games through its wholly-owned subsidiary Koch Media Gmbh. The upfront purchase price amounts to EUR 50 million in total, with a possible earn-out consideration of a maximum of EUR 65 million. Setterwalls acted as legal adviser to the sellers of Vertigo Games throughout the transaction process.
