Setterwalls has advised Catena on the acquisition of a Nordic logistics property portfolio valued at SEK 8.8 billion
Setterwalls has advised the listed real estate company Catena AB on its acquisition of a major logistics property portfolio from Urban Partners. The transaction comprises 20 properties in Sweden, Finland and Denmark at an underlying property value of approximately SEK 8.8 billion, representing one of the largest transactions in the Nordic logistics segment.
Catena has entered into an agreement to acquire a portfolio of logistics properties from Urban Partners, with the seller represented by the property funds NIP, NSF III, NSF IV, and NSF V. The total lettable area in the acquired portfolio amounts to 612,000 sqm, with a total land area of over 1,300,000 sqm, of which approximately 70,000 sqm consists of development rights. The acquisition is structured as share deals at an underlying property value of approximately SEK 8.8 billion with deductions for deferred tax and is financed through equity and external credit facilities.
The transaction marks Catena’s entry into the Finnish market and further strengthens its position as a leading Nordic logistics platform. The portfolio comprises approximately 612,000 sqm of modern, high-specification logistics assets with strong occupancy and long-duration lease structures supporting stable cash flows. The assets are designed to accommodate advanced logistics operations and evolving supply-chain innovation, including energy-efficient solutions and infrastructure supporting next-generation supply chains.
Setterwalls acted as legal advisor throughout the entire transaction process, including structuring and due diligence analysis, transaction documentation, competition filings and cross-border coordination. The firm also advised Catena in connection with the structuring and negotiation of the acquisition financing, including related credit facilities.
