Briefly about the FDI Act

On 1 December 2023, the Swedish FDI Act — the Act on the Screening of Foreign Direct Investments — entered into force, introducing far-reaching obligations for investors in so-called Swedish security-sensitive activities. Under the FDI Act, investments above certain threshold values in companies conducting security-sensitive activities must be notified to and reviewed by the Inspectorate of Strategic Products (ISP) before they may be carried out.

The purpose of the FDI Act is to identify and prevent foreign direct investments in Swedish security-sensitive activities that may have a harmful impact on Sweden’s security or on public order or public security in Sweden. However, the notification obligation applies to both Swedish and foreign investors.

Can the FDI Act affect your business?
The FDI Act covers a very broad range of sectors and activities, which means that many transactions need to include an assessment of whether a notification obligation exists. The Act applies to all types of investments, such as share transfers, new share issues and mergers.
